Terms of Use — Terpsi Capital LP

These Terms of Use (these "Terms") govern your access to and use of the website located at www.terpsicapital.com and any related web pages operated by Terpsi Capital LP (together with its general partner and affiliates, "Terpsi Capital," "we," "us," or "our") where these Terms are posted (collectively, the "Site").

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated Effective Date. Your continued use of the Site following any modification constitutes your acceptance of the revised Terms.

The Site is intended solely for users who are at least 18 years of age. By accessing or using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Terpsi Capital is not a registered investment adviser, broker-dealer, or investment company under applicable U.S. federal or state securities laws by virtue of this Site, and nothing herein creates or implies any such registration or status.

3. No Reliance on Site Content

The content on the Site is provided for informational purposes only. Subject to your compliance with these Terms, Terpsi Capital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial informational purposes. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without Terpsi Capital's prior written consent;
  • Remove or alter any copyright, trademark, or other proprietary notices appearing on the Site;

TERPSI CAPITAL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. TERPSI CAPITAL DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.

9. Limitation of Liability

10. Indemnification

You agree to indemnify, defend, and hold harmless Terpsi Capital, its general partner, affiliates, officers, directors, employees, partners, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party right, including any intellectual property or privacy right.

11. Jurisdictional Compliance

Terpsi Capital makes no representation that the content on the Site is appropriate, lawful, or available for use in all jurisdictions. Those who access or use the Site from outside the United States do so at their own initiative and are solely responsible for compliance with local laws and regulations. Access to the Site from jurisdictions where such access is illegal is prohibited.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without giving effect to any choice of law principles that would require the application of the laws of a different jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be brought exclusively in a court of competent jurisdiction located within the State of California, and you hereby consent to personal jurisdiction and venue in such courts. You waive any objection to the laying of venue in such courts and any objection that such courts are an inconvenient forum.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

No waiver by Terpsi Capital of any breach or default under these Terms will be deemed a waiver of any subsequent breach or default, and will not affect any other provision of these Terms. Terpsi Capital's failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Terpsi Capital with respect to your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings between you and Terpsi Capital relating to the same subject matter.
